1. INTRODUCTION

These Terms and Conditions (“Terms”) set forth the rules governing access to and use of the Vaaradhi Platform, including its website, mobile application, and associated services, operated by Vaaradhi Trust (“Vaaradhi,” “we,” “us,” or “our”). By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with any applicable policies referenced herein. If you do not agree to these Terms, you must immediately cease using the Platform.

2. NATURE OF THE PLATFORM

2.1 The VAARADHI Platform operates as a digital technology intermediary that enables users to discover, access, and connect with licensed third-party providers offering medicines and healthcare-related services. The Platform is designed solely to facilitate interactions and transactions between Users and such independent providers.

2.2 VAARADHI does not engage in the sale, dispensing, distribution, or supply of medicines or pharmaceutical products. At no point does Vaaradhi assume the role of a seller, distributor, or healthcare provider.

2.3 All orders for pharmaceutical products or healthcare services are fulfilled directly by independent, duly licensed third-party pharmacies or service providers. Any contractual relationship for the purchase of such products or services is strictly between the User and the respective third-party provider. Vaaradhi is not a party to, nor does it assume any responsibility for, such transactions.

2.4 Any listings, catalogues, or displays of medicines or healthcare products on the Platform are intended solely for informational purposes and constitute an “invitation to offer” under applicable laws. Such listings should not be construed as a binding offer for sale by Vaaradhi or by the listed providers.

2.5 When a User places an order through the Platform, such order constitutes an offer made by the User to purchase the selected product(s) or service(s) from the relevant third-party provider. The acceptance of such offer is at the sole discretion of the respective pharmacy or service provider, which may accept or reject the order based on factors including, but not limited to, availability, prescription validation, regulatory compliance, and internal policies.

2.6 VAARADHI’S role is limited to facilitating the transmission of orders and related information between Users and third-party providers. Vaaradhi does not guarantee the availability, quality, accuracy, safety, legality, or suitability of any products or services offered by such providers.

2.7 Users acknowledge and agree that Vaaradhi is not responsible for any acts, omissions, errors, or deficiencies on the part of third-party pharmacies or service providers, including but not limited to delays, cancellations, pricing discrepancies, or issues relating to product quality or authenticity.

2.8 Users are advised to exercise their own judgment and, where applicable, consult qualified healthcare professionals before purchasing or using any medicines or healthcare-related products accessed through the Platform.

3. ELIGIBILITY

3.1 Access to and use of the Platform is restricted to individuals who meet the following eligibility criteria:

  1. The User must be at least eighteen (18) years of age; or
  2. If the User is a minor, such use must be undertaken only under the supervision and with the consent of a parent or legal guardian, who agrees to be bound by these Terms on behalf of the minor.

3.2 Users must be legally competent to enter into a valid and binding contract under the applicable laws of India. By using the Platform, the User represents and warrants that they possess the legal capacity and authority to agree to these Terms and to perform their obligations hereunder.

3.3 Vaaradhi reserves the right to restrict, suspend, or terminate access to the Platform in the event it is discovered that a User does not meet the eligibility requirements or has provided false, inaccurate, or misleading information regarding their eligibility.

3.4 The Platform is not intended for use by individuals who are prohibited from entering into legally binding agreements under any applicable law, and such individuals must refrain from accessing or using the Platform.

4. USER ACCOUNT

4.1 In order to access certain features of the Platform, Users may be required to create an account. Users agree to provide accurate, current, and complete information during the registration process and to promptly update such information to ensure its continued accuracy.

4.2 Users are solely responsible for maintaining the confidentiality and security of their account credentials, including usernames, passwords, and any other authentication information. Users agree to:

  1. Keep their login credentials secure and not disclose them to any third party; and
  2. Accept full responsibility for all activities, transactions, and actions carried out through their account, whether authorized or unauthorized.

4.3 Users must immediately notify Vaaradhi of any unauthorized use of their account or any other breach of security. Vaaradhi shall not be liable for any loss or damage arising from a User’s failure to safeguard their account credentials.

4.4 Vaaradhi reserves the right, at its sole discretion, to suspend, restrict, or terminate a user’s account, with or without prior notice, in the event of:

  1. Provision of false, inaccurate, incomplete, or misleading information.
  2. Misuse of the Platform or violation of these Terms.
  3. Engagement in unlawful, fraudulent, or suspicious activities; or
  4. Any conduct that may harm the integrity, security, or reputation of the Platform or its users.

4.5 Upon suspension or termination of an account, Vaaradhi may restrict access to the Platform and take any necessary actions in accordance with applicable laws and internal policies.

5. ROLE OF PHARMACIES

5.1 Nature of the Platform:

The Platform operates strictly as a technology-based intermediary that enables users to place orders with independent, third-party licensed pharmacies. The Platform does not engage in the sale, stocking, or distribution of medicines. All medicines offered through the Platform are:

  • Sold by duly licensed pharmacies in accordance with applicable laws; and
  • Dispensed by qualified and registered pharmacists against valid prescriptions, where required.

5.2 Independent Status of Pharmacies:

All pharmacies listed on the Platform are independent entities and are not employees, agents, or partners of the Platform. The relationship between the Platform and pharmacies is on a principal-to-principal basis. The Platform does not exercise control over pharmacy operations, professional judgment, or fulfilment practices.

5.3 Responsibilities of Pharmacies:

Each pharmacy shall bear sole and exclusive responsibility for:

  1. Ensuring the quality, safety, efficacy, and authenticity of all medicines and healthcare products supplied.
  2. Verifying and honouring valid prescriptions in compliance with applicable laws and professional standards.
  3. Maintaining proper storage, handling, packaging, and transportation conditions, including adherence to temperature and safety requirements.
  4. Ensuring that medicines supplied are within their expiry date and are appropriately labelled.
  5. Compliance with all applicable laws, rules, regulations, and licensing requirements, including those governing the sale of drugs and cosmetics.
  6. Issuing valid tax invoices, bills, and any other required documentation to users; and
  7. Addressing user queries, complaints, returns, or disputes related to the products supplied.

5.4 Role and Limitations of the Platform:

The Platform’s role is limited to providing a digital interface to facilitate order placement, payment processing (where applicable), and communication between users and pharmacies. The Platform does not:

  1. Manufacture, own, store, or sell any medicines listed on the Platform.
  2. Provide medical advice, diagnosis, or treatment recommendations.
  3. Guarantee the accuracy, completeness, or suitability of product information provided by pharmacies; or
  4. Interfere with or influence the professional judgment of pharmacists.

5.5 Disclaimer of Warranties:

To the fullest extent permitted by law, the Platform makes no representations or warranties, express or implied, regarding:

  • The availability of any medicine or product at any given time.
  • The pricing, discounts, or promotional offers set by pharmacies.
  • The quality, safety, or effectiveness of medicines supplied by pharmacies; or
  • The timeliness, reliability, or performance of pharmacy services, including order fulfilment and delivery.

5.6 No Liability for Pharmacy Actions:

The Platform shall not be liable for any acts, omissions, errors, or negligence of pharmacies, including but not limited to:

  1. Supply of incorrect, defective, or expired medicines.
  2. Delays in order processing or delivery.
  3. Refusal to dispense medicines due to prescription issues; or
  4. Any adverse effects, loss, or damages arising from the use of medicines purchased through the Platform.

5.7 User Acknowledgement:

By using the Platform, users expressly acknowledge and agree that:

  1. The contract for sale of medicines is directly between the user and the pharmacy.
  2. The Platform is only a facilitator and not a party to such transactions; and
  3. Any claims, disputes, or grievances relating to medicines or services must be addressed directly with the respective pharmacy, subject to applicable laws.

5.8 Regulatory Compliance:

The Platform endeavors to onboard only those pharmacies that represent compliance with applicable licensing and regulatory requirements. However, the Platform does not independently verify or guarantee the ongoing validity of such licenses and shall not be held responsible for any non-compliance by pharmacies.

6. PRESCRIPTION POLICY

6.1 Users shall upload a valid, complete, and legible Prescription where required under applicable law.

6.2 The responsibility for:

  • Authenticity
  • Validity
  • Legal compliance

of the Prescription lies solely with the User and the dispensing Pharmacy.

6.3 Pharmacies shall:

  • Independently verify prescriptions
  • Exercise professional judgment in dispensing medicines
  • Accept or reject orders at their discretion

6.4 VAARADHI:

  • Does not verify or authenticate prescriptions
  • Shall not be liable for misuse, fraud, or errors relating to prescriptions

7. GENERIC SUBSTITUTION POLICY (CORE FEATURE)

7.1 The Platform may display:

  • Generic equivalents of branded medicines
  • Comparative pricing and product information

7.2 Substitution shall be permitted only where:

  • The prescribing practitioner explicitly authorizes substitution; or
  • The prescription specifies generic (salt-based) names

7.3 Any substitution shall:

  • Require explicit informed consent of the User
  • Be subject to verification and approval by the Pharmacy

7.4 Vaaradhi:

  • Does not recommend or endorse any specific medicine
  • Does not guarantee bioequivalence, safety, or therapeutic outcomes

7.5 The final responsibility for substitution decisions rests with:

  • The dispensing Pharmacy; and
  • The User, in consultation with their healthcare provider

8. PRICING AND PAYMENTS

8.1 All pricing is independently determined by Pharmacies or Manufacturers.

8.2 Vaaradhi may display price comparisons solely for informational and transparency purposes.

8.3 Payments may be processed through third-party payment gateways compliant with applicable regulations.

8.4 Vaaradhi shall not be liable for:

  • Failed transactions
  • Unauthorized transactions
  • Banking or gateway-related errors

8.5 Users agree that: Payment disputes must be raised with the relevant payment service provider or Pharmacy.

9. DELIVERY AND LOGISTICS

9.1 Delivery shall be fulfilled by:

  • Pharmacies; or
  • Independent third-party logistics providers

9.2 Delivery personnel act as agents of the User for the limited purpose of order fulfilment.

9.3 Risk in the products shall pass to the User upon dispatch.

9.4 Vaaradhi shall not be responsible for:

  • Delivery delays
  • Loss, theft, or damage during transit
  • Improper storage or handling by delivery partners

10. RETURNS AND REFUNDS

10.1 Returns shall be governed by:

  • Applicable laws (including drug regulations); and
  • Pharmacy-specific policies

10.2 Refunds may be issued in limited circumstances, including:

  • Incorrect product supplied
  • Damaged, expired, or defective products

10.3 Refund processing shall be subject to:

  • Verification by the Pharmacy
  • Processing timelines of payment service providers

10.4 Certain products (including temperature-sensitive or prescription medicines) may not be eligible for return, as per law.

11. HEALTH INFORMATION DISCLAIMER

11.1 All content on the Platform is provided on an “as-is” and “as-available” basis for informational purposes only.

11.2 Such content does not constitute:

  • Medical advice
  • Diagnosis
  • Treatment or prescription

11.3 Users are strongly advised to seek independent medical advice from qualified professionals before using any medication.

12. THIRD-PARTY SERVICES

12.1 The Platform may facilitate access to:

  • Diagnostic services
  • Teleconsultation services
  • Other healthcare-related services

12.2 These services are provided by independent third parties and are governed by their respective terms.

12.3 Vaaradhi disclaims all liability for:

  • Medical advice
  • Diagnostic results
  • Treatment outcomes

13. LIMITATION OF LIABILITY

13.1 To the fullest extent permitted under applicable law, Vaaradhi shall not be liable for:

  • Any indirect, incidental, or consequential damages
  • Medical outcomes or adverse drug reactions
  • Errors or omissions by Pharmacies or Manufacturers
  • Failures of third-party services

13.2 VAARADHI’S aggregate liability, if any, shall be limited to: The amount paid by the User for the specific transaction giving rise to the claim.

14. USER OBLIGATIONS AND REPRESENTATIONS

14.1 Users represent and warrant that:

  • All information provided is true and accurate
  • Prescriptions uploaded are valid and lawfully obtained

14.2 Users shall not:

  • Use the Platform for unlawful or fraudulent purposes
  • Upload forged or misleading prescriptions
  • Resell medicines in violation of applicable laws
  • Interfere with or disrupt Platform operations

15. DATA PRIVACY AND PROTECTION

15.1 VAARADHI may collect, process, and store:

  • Personal data
  • Health-related data, including prescriptions

15.2 Data shall be used for:

  • Service delivery
  • Regulatory compliance
  • Internal analytics and research (in anonymized form)

15.3 Vaaradhi shall implement reasonable security practices in accordance with applicable Indian data protection laws.

16. TERMINATION

16.1 Vaaradhi reserves the right to suspend or terminate access:

  • For breach of these Terms
  • Upon suspicion of fraudulent or unlawful activity

16.2 Termination shall not affect:

  • Accrued rights and obligations
  • Ongoing transactions already initiated

17. GOVERNING LAW AND JURISDICTION

17.1 These Terms shall be governed by and construed in accordance with the laws of India.

17.2 Courts located in Hyderabad, Telangana shall have exclusive jurisdiction.

19. AMENDMENTS

19.3 Continued use of the Platform constitutes acceptance of the revised Terms.

20. ENTIRE AGREEMENT

These Terms constitute the entire agreement between the User and Vaaradhi and supersede all prior agreements, communications, or understandings.
